1. Acceptance of Terms

Welcome to Quetzal. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Quetzal ("Company," "we," "us," or "our"), governing your access to and use of the Quetzal platform, website at quetztal.com, and all related services, features, content, and applications (collectively, the "Service").

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" refer to both you individually and the entity you represent.

We reserve the right to modify, update, or revise these Terms at any time. When we make material changes, we will provide at least thirty (30) days' prior notice by posting the updated Terms on the Service and updating the "Last Updated" date above, and where practicable, by sending an email notification to the address associated with your account. Your continued use of the Service after the effective date of any such modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service before the changes take effect.

2. Service Description

Quetzal is an AI-powered social media content generation, scheduling, and publishing platform. The Service provides the following core features and capabilities:

AI Content Generation. Quetzal leverages artificial intelligence technology, including Anthropic's Claude AI models, to assist users in generating social media content such as posts, captions, headlines, hashtags, and other written materials. The AI generates content based on prompts, instructions, and contextual information provided by the user.

Content Scheduling. The Service allows users to schedule content for publication at specified dates and times across multiple social media platforms. Users can create, edit, review, and manage a content calendar to organize their publishing workflow.

Automated Publishing. Quetzal facilitates the automated publishing of content to connected social media accounts. The Service interfaces with third-party social media platforms through their respective application programming interfaces (APIs) to deliver content on the user's behalf.

Analytics and Insights. The Service may provide analytics, performance metrics, and engagement data related to content published through the platform, subject to data availability from connected social media platforms.

Multi-Platform Integration. Quetzal supports integration with various social media platforms, which may include but are not limited to Facebook, Instagram, Twitter/X, LinkedIn, YouTube, TikTok, and Reddit. The availability of specific platform integrations is subject to change and depends on the continued availability of third-party APIs and authorization.

We reserve the right to modify, suspend, or discontinue any feature, functionality, or aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service or any part thereof.

3. Account Registration and Responsibilities

Eligibility. You must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, to create an account and use the Service. By registering for an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Account Security. You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to immediately notify Quetzal of any unauthorized use of your account or any other breach of security. You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities. Quetzal shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

Accurate Information. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete. Providing false, misleading, or outdated information may result in the suspension or termination of your account.

Prohibited Account Conduct. You agree not to: (a) share your account credentials with any third party or allow any other person to access or use your account; (b) create more than one account for yourself without our express written consent; (c) create an account using false or misleading information, or impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity; (d) use any automated means, including bots, scripts, or other software, to access, interact with, or create accounts on the Service, except through APIs or interfaces expressly provided by Quetzal for such purposes; or (e) sell, transfer, license, or assign your account or any rights therein to any third party.

4. AI-Generated Content

How AI Content Generation Works. Quetzal uses Anthropic's Claude AI models to generate content based on your inputs, prompts, instructions, and contextual information. When you request content generation, your inputs are processed by the AI model, which produces text outputs based on patterns learned during its training. The AI does not have access to the internet, real-time data, or information beyond what you provide and what was included in its training data.

Content Ownership. Subject to the limitations described below, you retain ownership of the content you create using the Service, including content generated by the AI based on your prompts and instructions. You are free to use, modify, publish, and distribute AI-generated content created through your use of the Service for any lawful purpose, subject to these Terms.

Important Copyright Disclaimer. You acknowledge and understand that the copyright status of AI-generated content is an evolving and unsettled area of law. Under current guidance from the United States Copyright Office and similar authorities in other jurisdictions, content that is generated purely by artificial intelligence, without sufficient human creative input and control, may not qualify for copyright protection. This means that purely AI-generated content may enter the public domain and may not be protectable as your exclusive intellectual property. Quetzal makes no representations or warranties regarding the copyrightability of any AI-generated content. You are solely responsible for evaluating and understanding the intellectual property implications of using AI-generated content, and you are encouraged to consult with qualified legal counsel regarding the copyright status of content produced through the Service.

Accuracy Disclaimer. AI-generated content may contain inaccuracies, errors, omissions, or fabricated information (commonly referred to as "hallucinations"). The AI may generate content that appears factual but is incorrect, outdated, or misleading. Quetzal does not verify, validate, or guarantee the accuracy, completeness, reliability, or truthfulness of any AI-generated content. You should not rely on AI-generated content as a sole source of factual information.

HUMAN REVIEW OBLIGATION. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, EDITING, AND APPROVING ALL AI-GENERATED CONTENT BEFORE PUBLISHING OR DISTRIBUTING IT THROUGH ANY CHANNEL, INCLUDING SOCIAL MEDIA PLATFORMS. YOU MUST NOT PUBLISH AI-GENERATED CONTENT WITHOUT FIRST CONDUCTING A THOROUGH HUMAN REVIEW TO VERIFY ITS ACCURACY, APPROPRIATENESS, LEGAL COMPLIANCE, AND SUITABILITY FOR YOUR INTENDED AUDIENCE AND PURPOSE. QUETZAL SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING FROM YOUR FAILURE TO ADEQUATELY REVIEW AI-GENERATED CONTENT BEFORE PUBLICATION.

Prohibited Uses of AI-Generated Content. You agree not to use the AI content generation features of the Service to: (a) create content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (b) generate spam, unsolicited messages, or content designed to mislead or deceive recipients; (c) create content that infringes upon the intellectual property rights, privacy rights, or other rights of any third party; (d) produce disinformation, fake news, or deliberately misleading content intended to deceive the public or manipulate public opinion; (e) generate content that violates any applicable law, regulation, or the terms of service of any social media platform to which the content will be published; or (f) attempt to bypass any content safety filters or guardrails implemented by Quetzal or its AI providers.

No AI Training. Quetzal does not use your prompts, inputs, or AI-generated outputs to train, fine-tune, or improve AI models. Your content generation interactions are processed by the AI model for the sole purpose of providing the requested output and are not retained for model training purposes. This commitment is subject to our Privacy Policy, which governs data handling and retention practices.

5. Social Media Platform Compliance

Platform Terms of Service. You are solely responsible for ensuring that all content published through the Service complies with the terms of service, community guidelines, content policies, advertising policies, and all other applicable rules and policies of each social media platform to which you publish content. Quetzal does not monitor or enforce compliance with third-party platform policies on your behalf. You acknowledge that violations of platform policies may result in penalties including content removal, account suspension, or permanent bans imposed by the respective platforms, and Quetzal bears no responsibility for any such consequences.

API Changes and Service Disruptions. Quetzal relies on third-party APIs provided by social media platforms to deliver its scheduling and publishing features. These APIs are controlled by the respective platforms and are subject to change, limitation, deprecation, or discontinuation at any time without notice to Quetzal. You acknowledge and agree that changes to third-party APIs may result in temporary or permanent disruption of certain features of the Service, including the inability to publish content to specific platforms, loss of analytics data, or reduced functionality. Quetzal shall not be liable for any such disruptions caused by changes to third-party APIs or platform policies.

OAuth Authorization. To connect your social media accounts to the Service, you will be required to authorize Quetzal through OAuth or similar authentication protocols provided by each platform. By granting such authorization, you consent to Quetzal accessing and interacting with your social media accounts within the scope of permissions you have approved. You may revoke authorization at any time through the respective platform's settings or through the Quetzal dashboard. Revoking authorization will prevent Quetzal from publishing content to or accessing data from the affected account.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service to:

(a) Violate any applicable federal, state, local, or international law or regulation, including but not limited to laws regarding data protection, privacy, intellectual property, consumer protection, anti-spam, and export control;

(b) Infringe upon or violate the intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any third party;

(c) Send, distribute, or facilitate the distribution of spam, unsolicited commercial messages, chain letters, pyramid schemes, or any other form of unsolicited bulk communication;

(d) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service or any part thereof, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;

(e) Use the Service, or any data or content obtained from the Service, to build, develop, or improve a competing product or service, or to provide services to third parties that compete with the Service;

(f) Scrape, crawl, harvest, or use any automated means to extract data or content from the Service, except through APIs or interfaces expressly provided by Quetzal for such purposes;

(g) Introduce any viruses, malware, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;

(h) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is hosted, or any server, computer, or database connected to the Service; or

(i) Engage in any activity that imposes an unreasonable or disproportionately large load on the Service's infrastructure or otherwise interferes with the proper functioning of the Service.

7. Intellectual Property

Quetzal's Intellectual Property. The Service, including but not limited to its software, code, algorithms, user interface, design, graphics, trademarks, service marks, logos, and all other intellectual property embodied in or associated with the Service (collectively, "Quetzal IP"), is owned by or licensed to Quetzal and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in or to any Quetzal IP, except for the limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

User Content Rights. You retain all rights, title, and interest in and to the content you create, upload, submit, or generate through the Service ("User Content"), subject to the copyright limitations described in Section 4 regarding AI-generated content. By using the Service, you grant Quetzal a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, process, display, and transmit your User Content solely as necessary to provide and operate the Service, including publishing content to your connected social media accounts, displaying content within the Quetzal dashboard, and performing technical operations such as backup and storage. This license terminates when you delete your User Content or your account, except to the extent that copies are retained in routine backups for a reasonable period.

Feedback. If you provide any suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you hereby grant Quetzal an irrevocable, perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display such Feedback for any purpose, without attribution or compensation to you. You acknowledge that Quetzal is under no obligation to implement any Feedback.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUETZAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, QUETZAL DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (D) ANY AI-GENERATED CONTENT WILL BE ACCURATE, ORIGINAL, NON-INFRINGING, APPROPRIATE, OR SUITABLE FOR ANY PARTICULAR PURPOSE; (E) THE SERVICE WILL BE COMPATIBLE WITH OR ACCEPTED BY ANY THIRD-PARTY SOCIAL MEDIA PLATFORM; (F) ANY CONTENT PUBLISHED THROUGH THE SERVICE WILL COMPLY WITH THE TERMS OF SERVICE OR POLICIES OF ANY THIRD-PARTY PLATFORM; OR (G) THE SERVICE WILL ACHIEVE ANY PARTICULAR LEVEL OF ENGAGEMENT, REACH, OR PERFORMANCE FOR YOUR CONTENT.

You acknowledge that the AI technology underlying the Service is inherently probabilistic and that outputs may vary, contain errors, or produce unexpected results. Quetzal does not guarantee that AI-generated content is free from bias, factual errors, or potentially offensive material. You use the Service and rely on AI-generated content entirely at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUETZAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF QUETZAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF QUETZAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS (US $100.00); OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO QUETZAL DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Without limiting the generality of the foregoing, Quetzal shall not be liable for any damages or losses arising from: (a) any action taken by a third-party social media platform against your account, including account suspension, content removal, or permanent bans, whether or not related to content published through the Service; (b) any errors, inaccuracies, or hallucinations in AI-generated content, or any consequences of publishing such content; (c) any downtime, unavailability, or disruption of third-party APIs or social media platforms that affects the functionality of the Service; (d) any unauthorized access to or alteration of your data or transmissions; or (e) any content or conduct of any third party using the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless Quetzal, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees and legal costs) arising out of or related to: (a) your use of the Service; (b) any content you create, publish, distribute, or otherwise make available through the Service, including AI-generated content that you have reviewed, approved, and published; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right, including intellectual property rights, privacy rights, and publicity rights; (e) your violation of the terms of service, community guidelines, or policies of any third-party social media platform; or (f) any claim by a third party arising from or related to your use of the Service or content published through your account.

Quetzal reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Quetzal.

11. Termination

Termination by User. You may terminate your account at any time by using the account deletion feature within the Service or by contacting us at legal@quetztal.com. Upon termination of your account, Quetzal will retain your data for a period of thirty (30) days, during which time you may request export of your data. After the thirty (30) day retention period, your data will be permanently deleted from our active systems, although residual copies may remain in routine backups for a reasonable additional period as described in our Privacy Policy.

Termination by Quetzal. Quetzal reserves the right to suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including but not limited to: (a) your breach of these Terms or any applicable policies; (b) your failure to pay any applicable fees when due; (c) your engagement in fraudulent, abusive, or illegal activity; (d) upon request by law enforcement or other government agencies; (e) extended periods of inactivity; or (f) unexpected technical or security issues. Quetzal will make reasonable efforts to provide notice before terminating your account, except where immediate termination is necessary to protect the Service, other users, or comply with legal obligations.

Effect of Termination. Upon termination of your account, your right to access and use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination of your account does not relieve you of any obligation to pay fees accrued prior to termination. Quetzal shall not be liable to you or any third party for any termination of your access to the Service.

12. Governing Law and Dispute Resolution

Governing Law. These Terms and any dispute arising out of or related to these Terms or your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact Quetzal at legal@quetztal.com and attempt to resolve the dispute informally. The parties agree to negotiate in good faith for a period of at least thirty (30) days from the date of the initial written notice of the dispute. If the dispute cannot be resolved through informal negotiation within this thirty (30) day period, either party may proceed with formal dispute resolution as described below.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that is not resolved through informal negotiation shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, or at another mutually agreed-upon location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST QUETZAL. If for any reason a claim proceeds in court rather than in arbitration, both you and Quetzal waive the right to a jury trial.

European Union Consumers. If you are a consumer located in the European Union, nothing in these Terms shall affect your rights under mandatory consumer protection laws of your country of residence, including Regulation (EU) No 524/2013 on online dispute resolution. You may also be entitled to bring proceedings in the courts of your country of residence. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

13. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Quetzal with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Quetzal regarding the Service.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

Waiver. The failure of Quetzal to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of Quetzal.

Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Quetzal. Quetzal may assign or transfer these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
